Den 11 augusti på kvällen meddelade SEC: På fredag den 14 augusti kl. 10 på förmiddagen kommer kommittén att hålla ett offentligt möte med endast en punkt på dagordningen: att rösta om man formellt ska föreslå ett "anpassat emissionssystem" för investeringskontrakt i kryptotillgångar (Regulation Crypto).
Detta är den första formella kryptoregeln som Paul Atkins initierat sedan han blev ordförande för SEC, och det är bara tre arbetsdagar från tillkännagivandet till mötet.
Alla tre ledamöter är republikaner och förväntas godkänna detta steg. Men det måste klargöras: fredagens omröstning handlar om "huruvida ett förslag ska offentliggöras för att samla in allmänhetens synpunkter", inte den slutgiltiga regeln. Efter att förslaget offentliggjorts följer vanligtvis en 60 till 90 dagars remissperiod, därefter justerar SEC reglerna baserat på feedback, och den formella ikraftträdandet kan tidigast ske 2027.
För marknaden är signalen viktigare än tidtabellen.
Var fastnade CLARITY Act?
Bakgrunden är kongressens lagstiftningsdödläge.
CLARITY Act (Digital Asset Market Clarity Act) är den närmaste kryptomarknadsstrukturen i USA att bli lag. Representanthuset godkände den i juli 2025 med 294 mot 134 röster, och senatens bankutskott godkände den i maj i år med 15 mot 9 röster. Det såg ut att gå smidigt, men när det kom till hela senatens omröstning fastnade det.
Senatens majoritetsledare Thune planerade att driva igenom omröstningen före augustiuppehållet. Den 6 augusti sade han till reportrar att demokraterna vägrade rösta. Klockan 4:52 den 8 augusti lämnade Thune in en procedurmotion i slutet av ett nattmöte som skjuter upp omröstningen till den 15 september kl. 14:15, första dagen senatens ledamöter återvänder från semester.
Anledningen till fastkörningen är specifik. Tre kontroversiella punkter är olösta: detaljer om penningtvätts- och brottsbekämpningsbestämmelser, tillsynsansvaret för stabila mynt-avkastning, och regeringsetiska bestämmelser som rör presidentens innehav av kryptotillgångar. Elizabeth Warrens hållning representerar demokraternas motstånd; hon säger att denna version av lagen "är skriven av kryptobranschen, för kryptobranschen".
Omröstningen kräver 60 röster. Republikanerna har 53 platser, så minst 7 demokrater måste rösta över partigränsen. TD Cowens analytiker Jaret Seiberg gav i en rapport den 10 augusti en 75% sannolikhet för att det misslyckas. Odds på Polymarket för att CLARITY Act ska bli lag inom året har sjunkit från 82% i februari till 21%, med över 5,5 miljoner dollar satsade på detta utfall.
SEC fyller tomrummet
SEC:s agerande kommer direkt efter att CLARITY Act fastnat. SEC väntar inte på kongressen, de skriver egna regler. TD Cowen beskriver detta möte som "startpunkten för en serie regelverk som SEC initierar för att ge regulatorisk klarhet efter att senaten fastnat".
Regulation Cryptos ramverk kommer från Atkins offentliga tal i mars. Då föreslog han tre typer av undantag:
Start-up-undantag: tillåter tidiga kryptoprojekt att genomföra begränsad finansiering under vissa villkor utan att utlösa fullständiga värdepappersregistreringskrav. Referenssiffran Atkins använde i mars var högst 75 miljoner dollar inom 12 månader.
Finansieringsundantag: ger en förenklad väg för större kapitalanskaffningar, där informationsgivningen kan likna en kryptovittnesmål snarare än ett fullständigt S-1 prospekt som för börsnoterade bolag.
Investeringskontrakts-säker hamn: den mest kritiska delen, som kan erbjuda en "utgång" från värdepappersreglering för tokens: när ett projekts utvecklingsteam inte längre dominerar nätverkets drift, kan tokenen sluta betraktas som ett investeringskontrakt och därmed lämna SEC:s jurisdiktion.
Om säker hamn-klausulen skrivs in i formella regler kommer det fundamentalt att förändra efterlevnadslogiken för kryptoprojekt. Den tidigare kärnfrågan var: en token som väl klassificerats som värdepapper förblir värdepapper för alltid, och projektet måste på obestämd tid uppfylla värdepapperslagar. Säker hamn-logiken är att värdepapperskaraktären kan avta i takt med projektets decentralisering.
Två parallella spår
Nu finns det två parallella spår i Washington för att driva kryptoreglering.
CLARITY Act följer lagstiftningsspåret. Dess fördelar är högsta auktoritet (lag går före administrativa regler), bredast täckning (delar upp SEC:s och CFTC:s jurisdiktion), och starkast varaktighet. Men det kräver 60 röster, tvärpolitiskt stöd, lösning av tre kontroversiella punkter, och även om den procedurmotionen passerar den 15 september återstår debatt, ändringsförslag och slutomröstning. Fönstret för att slutföra hela processen inom året är mycket snävt.
Regulation Crypto följer det administrativa regelspåret. Det kräver ingen kongressomröstning, tre republikanska ledamöter räcker för att driva igenom det. När formella regler väl antagits är de svårare att riva upp än personaluttalanden, eftersom upphävande kräver samma notifierings-, remiss- och omröstningsprocess. Nackdelen är att dess befogenheter är begränsade, täcker bara SEC:s jurisdiktion, inte CFTC, och kan möta rättsliga utmaningar.
Tidigare SEC-tjänstemannen Brett Redfearn uttryckte på X branschens känsla väl: "Ingen anledning att vänta på att kongressen ska godkänna CLARITY Act! Det är dags för tillsynsmyndigheterna att agera själva."
De två spåren utesluter inte varandra. Om CLARITY Act slutligen godkänns kommer den att ersätta Regulation Crypto; om CLARITY misslyckas i kongressen är Regulation Crypto det bästa branschen kan få. SEC använder sin administrativa makt för att ge kongressen en reservplan.
För kryptobranschen innebär detta inga förändringar i efterlevnadskrav på kort sikt. Fredagens omröstning är bara början på regelutvecklingsprocessen, från förslag till slutgiltigt ikraftträdande tar det minst sex månader.
Men signalvärdet är omedelbart. Under det senaste året har den största osäkerheten för kryptobranschen i USA varit "när kommer reglerna egentligen?" Att både kongressen och SEC driver på, även om i olika takt, betyder åtminstone att Washington har gått från "om man ska reglera krypto" till "hur man ska reglera" i praktiken.

That makes your conclusion reasonable: BTC and ETH are better positioned to attract institutional capital when regulatory uncertainty falls, while altcoin performance could become increasingly selective rather than broad-based.
The biggest thing to watch now is whether regulatory developments actually translate into institutional flows and capital deployment, rather than simply positive headlines.
Washington is regulating crypto on two clocks.
CLARITY cleared the Senate Banking Committee 15-9 in May, but its first Senate floor test was pushed to September. The expected cloture vote on the motion to proceed typically requires 60 votes. If it advances, debate, amendments and a final Senate vote would follow. Senate changes could send it back to the House.
Outstanding discussions include ethics provisions, stablecoin rewards, DeFi and developer protections, and investor safeguards.
Meanwhile, the SEC will hold an open meeting Aug 14 to consider whether to propose Regulation Crypto Assets, a tailored offering regime for certain investment contracts involving crypto assets.
The key word is "propose." Any release would still go through public comment and another Commission vote before becoming final.
SEC Chair Paul Atkins previously floated three possible components with illustrative thresholds:
· A startup exemption potentially lasting up to four years, with up to $5M in fundraising
· A broader exemption potentially allowing up to $75M over 12 months, with tailored disclosures
· A safe harbor clarifying when a crypto asset is no longer tied to an investment contract
The actual proposal may differ.
The SEC item is also narrower than full market-structure reform. It focuses on token offerings and fundraising under existing securities law, not comprehensive rules for exchanges, custody, spot-market oversight or durable SEC-CFTC boundaries.
It builds on the SEC interpretation joined by the CFTC in March, which introduced a crypto-asset taxonomy and addressed when a non-security crypto asset may become subject to, or cease to be subject to, an investment contract. That interpretation also covered airdrops, protocol mining, protocol staking and the wrapping of non-security crypto assets.
The U.S. path may now develop in layers: interpretation first, SEC offering rules next, legislation later. Can that sequence provide enough certainty, or does durable market structure still have to come from Congress?
