În seara zilei de 11 august, SEC a emis un anunț: vineri, 14 august, la ora 10 dimineața, comisia va ține o ședință publică cu o singură agendă: votarea pentru a decide dacă să propună oficial un set de "reguli personalizate de emitere" pentru contractele de investiții în active cripto (Regulation Crypto).
Aceasta este prima reglementare oficială privind criptomonedele de la numirea lui Paul Atkins ca președinte al SEC, iar anunțul a lăsat doar trei zile lucrătoare între publicare și ședință.
Cei trei comisari sunt toți republicani și se așteaptă să aprobe această măsură. Dar trebuie clarificat: votul de vineri decide "dacă să se publice propunerea și să se ceară opinia publică", nu regula finală. După publicare, propunerea va avea de obicei o perioadă de consultare publică de 60 până la 90 de zile, apoi SEC va modifica în funcție de feedback, iar intrarea în vigoare oficială va fi cel mai devreme în 2027.
Pentru piață, semnalul este mai important decât calendarul.
Unde s-a blocat Legea CLARITY?
Contextul este impasul legislativ din Congres.
Legea CLARITY (Legea clarității pieței activelor digitale) este cea mai apropiată legislație privind structura pieței cripto care ar putea deveni lege în SUA. Camera Reprezentanților a aprobat-o în iulie 2025 cu 294 la 134, iar Comisia pentru Bănci a Senatului a aprobat-o în mai cu 15 la 9. Părea să meargă bine, dar la votul plen al Senatului s-a blocat.
Liderul majorității din Senat, Thune, plănuia să forțeze votul înainte de vacanța din august. Pe 6 august a declarat jurnaliștilor că democrații refuză să voteze. La 8 august, la 4:52 dimineața, Thune a depus o moțiune procedurală la finalul unei ședințe de noapte, amânând votul pentru 15 septembrie, ora 14:15, prima zi după revenirea senatorilor din vacanță.
Motivul blocajului este concret. Trei puncte controversate nu au fost rezolvate: detaliile privind combaterea spălării banilor și aplicarea legii, reglementarea veniturilor din stablecoin-uri și clauzele etice guvernamentale legate de deținerea de active cripto de către președinte. Atitudinea lui Elizabeth Warren reflectă opoziția democraților, spunând că această versiune a legii este "scrisă de industria cripto, pentru industria cripto".
Votul necesită 60 de voturi. Republicanii au 53 de locuri, deci sunt necesari cel puțin 7 democrați care să voteze încrucișat. Analistul Jaret Seiberg de la TD Cowen a estimat pe 10 august o probabilitate de eșec de 75%. Pe Polymarket, cota pentru adoptarea legii CLARITY în acest an a scăzut de la 82% în februarie la 21%, cu peste 5,5 milioane de dolari pariați pe acest rezultat.
SEC umple golul
Acțiunea SEC vine imediat după blocajul legii CLARITY. SEC nu a așteptat Congresul, ci a început să scrie propriile reguli. TD Cowen a caracterizat această ședință ca "începutul unui set de reglementări lansate de SEC pentru a oferi certitudine după blocajul din Senat".
Cadrul Regulation Crypto provine din discursul public al lui Atkins din martie. Atunci a propus trei tipuri de scutiri:
Scutirea pentru startup-uri: permite proiectelor cripto timpurii să strângă finanțare limitată sub anumite condiții, fără a declanșa obligația completă de înregistrare a valorilor mobiliare. Referința folosită de Atkins în martie a fost de maximum 75 milioane de dolari în 12 luni.
Scutirea pentru finanțare: oferă o cale simplificată pentru strângerea de fonduri mai mari, cu dezvăluiri care pot fi mai apropiate de formatul unui whitepaper cripto decât de un prospect complet S-1 al unei companii listate.
Portul sigur pentru contractele de investiții: partea cea mai importantă, care ar putea oferi tokenurilor o cale de "ieșire din reglementarea valorilor mobiliare": când echipa de dezvoltare a unui proiect nu mai conduce în mod continuu operațiunile rețelei, tokenul poate să nu mai fie considerat un contract de investiții și astfel să iasă de sub jurisdicția SEC.
Dacă clauza portului sigur este inclusă în regula oficială, va schimba fundamental logica conformității proiectelor cripto. Problema centrală anterioară era: odată ce un token este considerat valoare mobiliare, rămâne așa pe vecie, iar proiectul trebuie să respecte pe termen nelimitat obligațiile legii valorilor mobiliare. Logica portului sigur este că caracterul de valoare mobiliare poate dispărea pe măsură ce proiectul devine mai descentralizat.
Două trasee
Acum, la Washington, există două trasee paralele pentru reglementarea cripto.
Legea CLARITY urmează traseul legislativ. Avantajele sale sunt autoritatea maximă (legea prevalează asupra regulilor administrative), acoperirea largă (împarte jurisdicția între SEC și CFTC) și durabilitatea. Dar necesită 60 de voturi, sprijin bipartizan, rezolvarea celor trei puncte controversate și chiar dacă trece votul procedural pe 15 septembrie, urmează dezbateri, amendamente și votul final, iar fereastra pentru finalizarea procesului în acest an este foarte strâmtă.
Regulation Crypto urmează traseul regulilor administrative. Nu necesită vot în Congres, cei trei comisari republicani pot avansa. Odată adoptată, regula oficială este mai greu de răsturnat de o SEC viitoare decât o declarație a personalului, deoarece anularea regulii necesită același proces de notificare-consultare-vot. Dezavantajul este că are competențe limitate, acoperă doar jurisdicția SEC, nu și CFTC, și poate fi contestată în instanță.
Reacția fostului oficial SEC Brett Redfearn pe X reflectă bine sentimentul industriei: „Nu mai trebuie să așteptăm ca Congresul să adopte Legea CLARITY! E timpul ca agențiile de reglementare să acționeze singure.”
Cele două trasee nu se exclud reciproc. Dacă Legea CLARITY este adoptată, va înlocui Regulation Crypto; dacă CLARITY eșuează în Congres, Regulation Crypto este cel mai bun rezultat pe care industria îl poate obține. SEC folosește puterea administrativă pentru a oferi Congresului o soluție de rezervă.
Pentru industria cripto, pe termen scurt nu vor exista schimbări în obligațiile de conformitate. Votul de vineri este doar începutul procesului de reglementare, de la propunere până la intrarea în vigoare finală trec cel puțin șase luni.
Dar impactul la nivel de semnal este imediat. În ultimul an, cea mai mare incertitudine pentru industria cripto din SUA a fost „când vor veni regulile”. Congresul și SEC avansează simultan, chiar dacă în ritmuri diferite, ceea ce înseamnă că Washington a trecut de la dezbaterea „dacă să reglementeze cripto” la faza practică „cum să reglementeze”.

In the near term, $BTC and $ETH are likely to remain the market leaders as institutions prioritize assets with greater regulatory clarity. Meanwhile, altcoins may continue to experience significant divergence, with capital favoring projects that can better navigate the evolving regulatory landscape.
The coming weeks could prove decisive. Whether Congress advances the CLARITY Act or the SEC successfully implements its own framework, the outcome may shape the next major trend for the entire crypto market.

Washington is regulating crypto on two clocks.
CLARITY cleared the Senate Banking Committee 15-9 in May, but its first Senate floor test was pushed to September. The expected cloture vote on the motion to proceed typically requires 60 votes. If it advances, debate, amendments and a final Senate vote would follow. Senate changes could send it back to the House.
Outstanding discussions include ethics provisions, stablecoin rewards, DeFi and developer protections, and investor safeguards.
Meanwhile, the SEC will hold an open meeting Aug 14 to consider whether to propose Regulation Crypto Assets, a tailored offering regime for certain investment contracts involving crypto assets.
The key word is "propose." Any release would still go through public comment and another Commission vote before becoming final.
SEC Chair Paul Atkins previously floated three possible components with illustrative thresholds:
· A startup exemption potentially lasting up to four years, with up to $5M in fundraising
· A broader exemption potentially allowing up to $75M over 12 months, with tailored disclosures
· A safe harbor clarifying when a crypto asset is no longer tied to an investment contract
The actual proposal may differ.
The SEC item is also narrower than full market-structure reform. It focuses on token offerings and fundraising under existing securities law, not comprehensive rules for exchanges, custody, spot-market oversight or durable SEC-CFTC boundaries.
It builds on the SEC interpretation joined by the CFTC in March, which introduced a crypto-asset taxonomy and addressed when a non-security crypto asset may become subject to, or cease to be subject to, an investment contract. That interpretation also covered airdrops, protocol mining, protocol staking and the wrapping of non-security crypto assets.
The U.S. path may now develop in layers: interpretation first, SEC offering rules next, legislation later. Can that sequence provide enough certainty, or does durable market structure still have to come from Congress?
